1. Agreement to Terms

By accessing or using Sugie.fun ("the Platform"), operated by Sugie ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised Terms. We will notify you of material changes via email or an in-app notice.

2. Eligibility

To use Sugie, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater).
  • Have the legal capacity to enter into a binding agreement.
  • Not be prohibited from using the Platform under applicable laws or regulations.
  • Not have been previously banned or removed from the Platform.

We reserve the right to request identity verification at any time to confirm your eligibility. Providing false information about your age or identity is grounds for immediate account termination.

3. Your Account

You may create an account using a supported Solana wallet (e.g., Phantom) or via social login (Google, Apple). You are responsible for:

  • Maintaining the security of your wallet and login credentials.
  • All activity that occurs under your account.
  • Ensuring your profile information is accurate and not misleading.

You must not share, transfer, or sell your account to another person. We are not liable for any loss arising from unauthorized access to your account due to your failure to protect your credentials or private keys.

4. Platform Description

Sugie is a Web3-powered dating platform designed for adults seeking mutually beneficial relationships ("Arrangements"). The Platform facilitates connections between members and provides an on-chain escrow system for arrangement payments using USDC on the Solana blockchain.

Sugie is not an escort service, a prostitution platform, or a marketplace for sexual services. The Platform is strictly intended for dating and relationship arrangements between consenting adults. Any use of the Platform for illegal purposes is strictly prohibited.

5. Escrow System & Payments

Sugie's escrow system operates via smart contracts deployed on the Solana blockchain. By using the escrow system, you acknowledge and agree to the following:

  • Funding: Sugar Daddies/Mommies ("SDs") fund arrangements by depositing USDC into a smart contract escrow. Funds are locked on-chain and visible to both parties.
  • Payouts: Sugar Babies ("SBs") receive prorated daily payouts in USDC to their connected Solana wallet.
  • Cancellation: Either party may cancel an arrangement at any time. Upon cancellation, remaining funds are returned to the SD on a prorated basis.
  • Platform Fee: Sugie charges a 5% fee on all escrowed arrangement amounts. This fee is deducted at the time of funding and is non-refundable.
  • Finality: Blockchain transactions are irreversible. Once a transaction is confirmed on the Solana network, it cannot be reversed, charged back, or undone by Sugie or any third party.
  • No Guarantee: Sugie does not guarantee the outcome of any arrangement. The escrow system guarantees the availability of funds, not the behavior of individual members.

6. User Conduct

You agree not to:

  • Use the Platform for any illegal purpose, including but not limited to prostitution, escort services, human trafficking, or any form of exploitation.
  • Post content that is obscene, threatening, harassing, defamatory, or that promotes violence or discrimination.
  • Create fake profiles, impersonate other individuals, or misrepresent your identity, age, or intentions.
  • Solicit money or payments outside of the Platform's escrow system.
  • Attempt to exploit, hack, reverse-engineer, or interfere with the Platform's smart contracts, infrastructure, or security measures.
  • Use bots, scrapers, or automated tools to access or interact with the Platform.
  • Spam, harass, or send unsolicited commercial messages to other members.
  • Circumvent or attempt to circumvent any security, rate-limiting, or access control features.

Violation of these rules may result in immediate account suspension or permanent ban, at our sole discretion, without refund of any fees paid.

7. User Content

You retain ownership of any content you upload to the Platform (photos, bio text, messages). By uploading content, you grant Sugie a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely for the purpose of operating and promoting the Platform.

We reserve the right to review, moderate, and remove any content that violates these Terms or our Community Guidelines. Profile photos are subject to moderation before being displayed publicly.

You represent that you have all necessary rights and permissions to upload and share any content on the Platform, and that your content does not infringe on the intellectual property rights of any third party.

8. Identity Verification

Sugie offers optional and, in some cases, required identity verification services. These may include selfie verification, government ID verification, and wallet ownership verification.

Verification badges indicate that a member has completed a specific verification process. They do not constitute an endorsement, background check, or guarantee of a member's character, intentions, or trustworthiness.

Verification data is processed by third-party identity verification providers and is subject to their respective privacy policies. See our Privacy Policy for details.

9. Intellectual Property

The Platform, including its design, code, branding, logos, trademarks, and all associated content (excluding user-generated content), is the exclusive property of Sugie and is protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our prior written consent. The Sugie name, logo, and all related marks are trademarks of Sugie.

10. Blockchain & Cryptocurrency Risks

By using the Platform's on-chain features, you acknowledge the following risks:

  • Volatility: While USDC is a stablecoin pegged to the US dollar, the value of any cryptocurrency asset can fluctuate. Sugie is not responsible for any losses related to cryptocurrency value changes.
  • Network Issues: The Solana blockchain may experience congestion, downtime, or technical failures that could affect transaction processing. Sugie is not liable for delays or failures caused by the underlying blockchain network.
  • Smart Contract Risk: While our smart contracts are designed and tested with care, no software is guaranteed to be free of bugs. Sugie is not liable for any losses resulting from smart contract vulnerabilities, exploits, or malfunctions.
  • Wallet Security: You are solely responsible for the security of your private keys and wallet access. Lost or compromised private keys cannot be recovered by Sugie.
  • Regulatory Risk: Cryptocurrency regulations vary by jurisdiction and may change. You are responsible for complying with all applicable laws in your jurisdiction.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SUGIE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Sugie does not warrant that the Platform will be uninterrupted, error-free, or secure. We do not endorse, verify, or guarantee any user content, profiles, arrangements, or interactions between members.

Sugie is not a party to any arrangement between members. We provide the technology and infrastructure to facilitate connections and secure payments, but we are not responsible for the conduct, safety, or outcomes of any in-person meetings or relationships.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUGIE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR CRYPTOCURRENCY ASSETS, ARISING FROM:

  • Your use of or inability to use the Platform.
  • Any conduct, content, or interactions with other members.
  • Unauthorized access to or alteration of your data.
  • Smart contract failures, blockchain network issues, or cryptocurrency-related losses.
  • Any third-party services, including wallet providers, identity verification providers, or blockchain networks.

Our total aggregate liability to you for all claims arising from or relating to the Platform shall not exceed the total amount of platform fees you have paid to Sugie in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Sugie, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform or violation of these Terms.
  • Your user content or interactions with other members.
  • Your violation of any law, regulation, or third-party rights.
  • Any dispute between you and another member of the Platform.

14. Termination

You may delete your account at any time through your account settings. Upon deletion, your profile and personal data will be removed in accordance with our Privacy Policy.

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, or legal requirements.

Active Arrangements: If your account is terminated while you have active arrangements, the escrow smart contract will handle fund distribution according to its programmed logic. Remaining escrowed funds will be returned to the SD on a prorated basis.

15. Dispute Resolution

Any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English.

You agree to waive any right to a jury trial or to participate in a class action lawsuit. Each party shall bear its own costs, unless the arbitrator determines otherwise.

For disputes involving less than $10,000, the arbitration may be conducted entirely online. For disputes involving the escrow smart contract, the on-chain transaction record shall serve as the definitive record of the arrangement terms and payment history.

16. Anti-Trafficking & FOSTA-SESTA Compliance

Sugie has a zero-tolerance policy for human trafficking, sexual exploitation, and any form of coercion. In compliance with FOSTA-SESTA and applicable laws:

  • We actively monitor the Platform for content and behavior indicative of trafficking or exploitation.
  • We cooperate fully with law enforcement investigations.
  • We provide reporting mechanisms on every page of the Platform.
  • We will immediately remove content and terminate accounts associated with suspected trafficking or exploitation.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Sugie regarding your use of the Platform. These Terms supersede any prior agreements or understandings.
